Terms & Conditions

Acceptance of marketing proposals by The Majors Agency Pty Ltd, via email reply or signature, constitutes agreement to the scope of work outlined in the proposal and the Terms & Conditions outlined below.

INTELLECTUAL PROPERTY

Ownership of final deliverables transfers to Client only upon full payment. The Majors retains ownership of drafts, templates, methodologies, and internal processes.

ONBOARDING

A structured onboarding phase applies at the commencement of the engagement covering hours used for initial planning, platform access & logins, digital platform setup, social media audits. A one-time onboarding fee of $429 (ex GST) is applied to the first invoice and is separate from the monthly retainer.

FEES AND INVOICING

The initial retainer payment and onboarding fee are due upfront, prior to the commencement of services. Ongoing retainer fees are billed in advance for the month ahead, and are due on the last business day of the preceding calendar month. For example, services scheduled for April are due by the last business day of March.

 

Client must provide accurate billing and accounts payable details and contact information during onboarding to ensure timely invoicing. If payment remains outstanding 30 days past due, The Majors Agency may potentially suspend services until the balance is paid in full.

SCOPE & VARIATIONS

The scope of services covered under this agreement is strictly limited to the deliverables, activities, and outputs expressly outlined in the agreed proposal or scope of work. Any requests, tasks, revisions, or services not explicitly included will be considered out of scope.

 

Requests for additional work, changes in direction, or expansion of deliverables must be submitted in writing and may require a revised scope, adjusted timelines, and/or additional fees. The Majors Agency is not obligated to commence out-of-scope work until such variations are formally approved in writing. Informal requests, incremental additions, or ongoing “small changes” that cumulatively extend beyond the agreed scope are considered scope creep and will be managed as a variation to this agreement.

​STANDARDISED SERVICE FRAMEWORK

The Majors Agency delivers services using a standardised operating framework designed to ensure consistency, efficiency, and high-quality outcomes across all client engagements. Deliverables, timelines, and service inclusions are defined within the agreed proposal or scope of work and are delivered using established templates, processes, and methodologies.

To maintain service quality and operational integrity, bespoke systems, custom workflows, or client-specific delivery structures outside of this framework are not included unless expressly agreed in writing as a separate scope or project.

REVISIONS

The scope includes a reasonable number of revisions aligned with the original brief. Revisions do not include new concepts, strategic pivots, or additional deliverables. Requests that materially alter direction or require rework beyond the agreed scope may incur fees.

CLIENT DELAYS

Delays in providing feedback, approvals, assets, or access may impact agreed timelines. The Majors Agency is not responsible for delays caused by the Client and reserves the right to adjust delivery schedules accordingly. Retainer fees remain payable during periods of client-side delay.

MONTHLY RETAINER BASIS

Monthly retainers are structured around the delivery of agreed outputs and outcomes over a monthly period, rather than the allocation of fixed weekly hours. While The Majors Agency plans and manages internal time to meet deliverables efficiently, the retainer does not guarantee a specific number of hours per week or a uniform weekly workload distribution.

Work may be delivered in varying intensities throughout the month in alignment with campaign cycles, approvals, and strategic priorities, provided all agreed deliverables are met within the monthly term.

REPORTING & COMMUNICATION CADENCE 

The Majors Agency utilises a systemised reporting structure to ensure clear, consistent communication across all client engagements. Unless otherwise specified in the proposal, reporting is delivered via a standard Monthly Pulse Report summarising performance, key insights, and recommended next steps.

Ongoing communication is primarily managed through documented written updates and scheduled touchpoints. More frequent reporting, detailed analytics breakdowns, or regular weekly meetings are reserved for higher-tier retainers or clients with expanded service scopes, as outlined in their individual agreements.

REQUESTS FOR URGENT WORK

All work requests must be submitted in writing via approved channels such as email or agreed project tools. Verbal requests text messages or informal communications are not considered valid work requests. Same day or end of day delivery is not included in the retainer. Urgent requests may be considered only if approved in writing subject to availability and will incur an additional rush fee agreed in advance.

 

Minimum notice periods apply to requests: Minor tasks require 2 to 3 business days Content creation requires 5 to 7 business days. Website work follows an agreed project timeline Campaign or strategy work requires 7 to 10 business days. The Majors Agency is not required to interrupt or reprioritise scheduled work to accommodate new or urgent requests unless otherwise agreed in writing.

OPERATIONAL INTEGRITY

The Client acknowledges that adherence to The Majors Agency’s established systems, timelines, and communication practices is essential to the effective delivery of services. Deviations from agreed processes may impact efficiency, delivery timelines, or outcomes and may require a revised scope or additional fees.
